Terms of Service

1. Acceptance of Terms

By accessing or using the RivalSignalX service ("Service") operated at rivalsignalx.com ("we," "our," or "us"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service.

We reserve the right to update these Terms at any time. Material changes will be communicated via email. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

2. Service Description

RivalSignalX is a subscription-based competitor intelligence service that delivers automated weekly reports covering competitor pricing changes, product feature launches, hiring signals, and other market activity for software-as-a-service (SaaS) teams.

Reports are delivered via email each Monday morning based on the competitors and keywords you configure in your account. The Service is intended for internal business use only. Accuracy of competitive intelligence depends on publicly available data and cannot be guaranteed.

3. Subscription Plans and Pricing

The Service is offered on two subscription tiers:

All prices are in US Dollars and exclude applicable taxes. Subscriptions are billed monthly. Payment is processed via Stripe at the start of each billing period.

4. Free Trial

New subscribers may be eligible for a 14-day free trial at our discretion. During the trial period, you will have full access to your selected plan's features. No charge is made during the trial period.

At the end of the free trial, your subscription will automatically convert to a paid subscription and your payment method will be charged at the applicable monthly rate unless you cancel before the trial ends. We will send you a reminder email before the trial expires.

5. Auto-Renewal and Billing

Subscriptions automatically renew on a monthly basis. By subscribing, you authorize us to charge your payment method on file each month at the applicable subscription rate until you cancel.

If a payment fails, we will retry the charge and notify you by email. If payment cannot be collected within 7 days of the due date, access to the Service may be suspended until payment is received.

6. Cancellation Policy

You may cancel your subscription at any time by contacting us at hello@rivalsignalx.com.

• Cancellation requests received by the last day of the current billing month will take effect from the following month.
• You will retain access to the Service through the end of your current paid billing period.
• No partial-month refunds are issued upon cancellation.

7. Refund Policy

Exceptions may be considered at our sole discretion in cases of confirmed technical failures on our part that prevented report delivery. To request review of an exception, contact hello@rivalsignalx.com within 7 days of the affected delivery date.

8. Acceptable Use

You agree not to use the Service to:

• Resell, redistribute, or sublicense the reports or data to third parties without our express written permission.
• Scrape, reverse-engineer, or systematically extract data from the Service.
• Use the Service for any unlawful purpose or in violation of any applicable regulations.
• Impersonate any person or entity, or falsely represent your affiliation with any organization.
• Interfere with or disrupt the integrity or performance of the Service or its infrastructure.
• Attempt to gain unauthorized access to the Service, other accounts, or related systems.
• Use the Service to develop a competing product or service.

We reserve the right to suspend or terminate accounts that violate these acceptable use provisions without notice and without refund.

9. Intellectual Property

All content, software, trademarks, and report formats provided through the Service are the property of RivalSignalX and are protected by applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the reports for your internal business purposes only.

Publicly available competitive data included in reports may be subject to third-party rights. We do not claim ownership of underlying public data.

10. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied. We do not warrant that the Service will be uninterrupted, error-free, or that the competitive intelligence provided will be complete, accurate, or current.

Competitive intelligence is derived from publicly available sources and is subject to change. You should independently verify any material business decisions made in reliance on our reports.

11. Limitation of Liability

To the fullest extent permitted by applicable law, RivalSignalX shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of data, loss of business opportunity, or reputational harm, arising out of or in connection with your use of the Service.

Our total aggregate liability to you for any claims arising under or related to these Terms shall not exceed the total fees paid by you to us in the three (3) months immediately preceding the event giving rise to the claim.

12. Indemnification

You agree to indemnify, defend, and hold harmless RivalSignalX and its officers, employees, and agents from and against any claims, damages, losses, and expenses (including reasonable legal fees) arising out of or relating to your use of the Service, your violation of these Terms, or your violation of any third-party rights.

13. Termination

We reserve the right to suspend or terminate your access to the Service at any time, with or without notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties, or for any other reason at our discretion.

Upon termination, your right to use the Service ceases immediately. Sections that by their nature should survive termination (including intellectual property, limitation of liability, and governing law) will survive.

14. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of Japan, without regard to conflict of law principles. Any dispute arising from or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts located in Japan.
